1. Introduction

Welcome to BizSearch India ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the BizSearch India platform, including our website at bizsearch.in, mobile applications, and all related services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Platform. We recommend that you print a copy of these Terms for future reference.

2. Definitions

In these Terms, the following definitions apply:

• "User," "you," or "your" refers to any individual or entity that accesses or uses our Platform.
• "Business Owner" refers to Users who create Business Profiles to list businesses for sale.
• "Franchisor" refers to Users who create Franchise Profiles to list franchise opportunities.
• "Investor" refers to Users who create Investor Profiles to indicate investment criteria and interests.
• "Content" refers to all information, text, images, data, links, software, or other material that you submit, upload, post, or otherwise make available on the Platform.
• "Listing" refers to a Business Profile, Franchise Profile, or any other offering posted on the Platform.

3. Account Registration and Eligibility

3.1. To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. You must be at least 18 years of age to create an account and use the Platform. By creating an account, you represent and warrant that you are at least 18 years old.

3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.4. We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

4. Profile Types and Listings

4.1. Business Profiles: Business Owners may create profiles to list businesses for sale. When creating a Business Profile, you must provide accurate and complete information about your business, including but not limited to business name, type, location, asking price, revenue, profit, and reason for sale. You may also upload documents such as financial statements, images, and other relevant materials.

4.2. Franchise Profiles: Franchisors may create profiles to list franchise opportunities. When creating a Franchise Profile, you must provide accurate and complete information about your franchise opportunity, including but not limited to business name, industry, investment range, area required, support provided, and number of franchise outlets. You may also upload images, videos, and disclosure documents.

4.3. Investor Profiles: Investors may create profiles to indicate investment criteria. When creating an Investor Profile, you must provide accurate information about your investment preferences, including but not limited to industry preference, location, and investment amount.

4.4. Verification: All profiles undergo a verification process before being published. We reserve the right to reject or remove any profile that does not meet our standards or that we believe contains false, misleading, or inappropriate information.

4.5. Accuracy of Information: You are solely responsible for the accuracy and completeness of the information provided in your profile and listings. We do not verify the accuracy of all information provided by Users and make no representations or warranties regarding the accuracy of User-provided information.

5. User Conduct and Prohibited Activities

5.1. You agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms.

5.2. Prohibited activities include, but are not limited to:

• Providing false, misleading, or inaccurate information in profiles or listings
• Impersonating any person or entity
• Harassing, threatening, or intimidating other Users
• Posting content that is defamatory, obscene, or offensive
• Engaging in any activity that could disable, overburden, or impair the Platform
• Attempting to gain unauthorized access to any part of the Platform
• Using the Platform for any illegal purpose or to promote illegal activities
• Posting content that infringes on the intellectual property rights of others
• Scraping, data mining, or otherwise collecting information from the Platform using automated means
• Using contact information obtained from the Platform for unsolicited marketing or promotional communications

5.3. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending content, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

6. Fees and Payments

6.1. We offer both free and premium plans. The features available under each plan are described on our pricing page.

6.2. Premium plans require payment of fees as specified on our pricing page. All fees are quoted in Indian Rupees (INR) and are subject to applicable taxes.

6.3. Payments are processed through our third-party payment processors. By making a payment, you agree to the terms and conditions of these payment processors.

6.4. Subscription plans automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings.

6.5. Refunds are provided in accordance with our Refund Policy, which is incorporated by reference into these Terms.

7. Confidentiality and Non-Disclosure

7.1. Certain information on the Platform, particularly detailed business and financial information, is considered confidential.

7.2. Users who access confidential information through the Platform agree to:

• Keep such information strictly confidential
• Use the information solely for the purpose of evaluating a potential business transaction
• Not disclose such information to any third party without prior written consent
• Take reasonable measures to protect the confidentiality of such information
• Return or destroy all confidential information upon request or when no longer needed

7.3. In some cases, Users may be required to sign a separate Non-Disclosure Agreement (NDA) before accessing certain confidential information.

8. Intellectual Property Rights

8.1. The Platform and its original content, features, and functionality are owned by BizSearch India and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2. By submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content for the purpose of providing and promoting the Platform.

8.3. You represent and warrant that you own or have the necessary rights to the Content you submit and that the Content does not infringe upon the intellectual property rights or other rights of any third party.

9. Privacy

9.1. Our Privacy Policy, available at https://bizsearch.in/privacy, describes how we collect, use, and share information about you when you use our Platform. By using the Platform, you consent to our collection, use, and sharing of information as described in the Privacy Policy.

10. Disclaimer of Warranties

10.1. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10.2. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED.

10.4. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY INFORMATION, CONTENT, OR MATERIALS FOUND ON OR OBTAINED THROUGH THE PLATFORM.

10.5. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

11. Limitation of Liability

11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZSEARCH INDIA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

11.2. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PLATFORM EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

11.3. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

12.1. You agree to indemnify, defend, and hold harmless BizSearch India, its affiliates, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

13. Third-Party Links and Content

13.1. The Platform may contain links to third-party websites or resources and third-party content. Such links and content are provided for your information and convenience only.

13.2. We have no control over the content, privacy policies, or practices of any third-party websites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. Termination

14.1. We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

14.2. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or delete your account through your account settings.

14.3. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Jurisdiction

15.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.2. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts in Delhi, India, and you consent to the exclusive jurisdiction of such courts.

16. Changes to Terms

16.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

16.2. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.

18. Severability

18.1. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

19. Entire Agreement

19.1. These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, shall constitute the entire agreement between you and BizSearch India concerning the Platform.
